Acceptance of Terms

By accessing or using XchangeSeat ("Service"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all incorporated policies. Continued use after changes constitutes acceptance. If disagreeing with any terms, immediately cease using the Service.

Service Description & Platform Independence

XchangeSeat is a neutral coordination platform facilitating voluntary passenger communication for seating arrangements. We operate independently of all transport operators.

PLATFORM INDEPENDENCE: XchangeSeat has no partnerships, affiliations, or agreements with any airline, bus operator, venue, or entertainment provider. We are a completely independent technology platform.

What XchangeSeat DOES Provide:

Connect passengers with similar seating preferences
Provide secure messaging templates for coordination
Facilitate private communication between consenting adults
Help users find compatible coordination partners

What we do NOT do:

  • ❌ Issue or validate tickets
  • ❌ Guarantee swap success
  • ❌ Override operator rules
  • ❌ Handle monetary transactions between users
  • ❌ Participate in actual seat exchanges
  • ❌ Monitor private communications after contact sharing

Template Messaging Only: Platform provides pre-approved message templates. All detailed coordination, arrangements, and agreements happen privately between users after contact information exchange - outside our platform and systems.

Seat Swapping Guidelines & User Responsibilities

CRITICAL NOTICE: XchangeSeat facilitates SEAT COORDINATION only, never ticket exchange. Users must retain their original tickets at all times.

Keep Original Tickets: Always retain your original ticket/boarding pass. Never exchange actual tickets with other users.

Physical Seats Only: Only swap physical seating positions through mutual understanding. Both parties sit in each other's assigned seats.

Follow All Policies: You must adhere to venue, transport operator, and event organizer policies at all times.

Verification Ready: If staff requests verification, present your original ticket and explain the mutual seating arrangement.

LIABILITY DISCLAIMER: XchangeSeat does not guarantee successful seat swaps. Users are solely responsible for compliance with all applicable terms, conditions, and policies. XchangeSeat accepts no liability for any issues, disputes, or consequences arising from seat coordination activities.

Data Storage & Chat Communication

To facilitate safe seat exchanges, XchangeSeat temporarily stores coordination messages between users. By using our chat features, you explicitly consent to this temporary storage.

Data Retention Policy

  • Chat Messages: Automatically deleted after 5 days
  • Contact Information: Shared phone numbers deleted after 5 days
  • Seat Details: Temporarily stored seat numbers deleted after 5 days
  • Basic Swap Records: Completion status retained for safety and dispute resolution

Notification & Communication Policy

XchangeSeat provides notification services to enhance your seat exchange experience. By registering and using our services, you consent to receive communications as outlined below.

  • Swap Confirmations: Status updates on confirmed exchanges
  • Security Alerts: Account security and login notifications
  • System Announcements: Critical platform updates or maintenance
📧 Promotional Communications (Optional)

Marketing and promotional content that you can opt-out of anytime:

  • Feature Updates: New platform capabilities and improvements
  • Travel Tips: Seat selection strategies and travel advice
  • Travel Deals: Curated travel offers and promotional content from third-party services
  • Survey Requests: Feedback collection for service improvement
Communication Channels

Communication Frequency Limits

To respect your inbox and avoid spam, we implement the following limits:

  • Essential Notifications: No limit (sent as needed for safety)
  • Promotional Emails: Maximum 2 per week, 8 per month
  • SMS Messages: Essential only, maximum 5 per day for active swaps
  • Push Notifications: Real-time, but respect system do-not-disturb settings

XchangeSeat provides the platform "as is" for coordination purposes only. Please understand we cannot guarantee:

  • ❌ Ticket validity or authenticity
  • ❌ Compensation for failed swaps
  • ❌ Continuation of free features
  • ❌ Platform security or data protection

Liability Exclusion

Platform Intermediary Status

Important: XchangeSeat operates as an intermediary platform under Section 79 of the Information Technology Act, 2000. We only facilitate connections between users and do not participate in actual seat exchanges.

As an intermediary platform:

We provide a platform for user coordination only
Users are solely responsible for their seat exchange decisions
All regulatory compliance is user's responsibility

User Responsibility & Platform Limitations

CRITICAL: XchangeSeat is solely a communication platform. All passenger arrangements, compliance decisions, and consequences are exclusively user responsibility.

🌐 Universal User Responsibility

Users must independently research and comply with ALL applicable laws, regulations, and policies of their chosen transport operators or venues. Platform provides no guidance, advice, or compliance support.

🚫 No Operator Relationship

Platform has ZERO relationship with any airline, bus company, venue, entertainment provider, or transport operator. We cannot and do not speak for, represent, or provide information about any operator's policies.

⚖️ Legal Independence

Platform operates under fundamental rights of free speech and private communication. Users coordinate privately at their own risk and legal responsibility.

Complete Liability Protection

Platform Protection Scope

To the maximum extent permitted by law, XchangeSeat and JDSPARK LLP shall not be liable for:

Any regulatory action, fines, or penalties imposed on users
Transport operator policy violations or consequences
Venue policy breaches, entry denials, or access issues
All private arrangements made after contact information exchange

📱 Post-Platform Communications

ANY arrangements, agreements, or transactions made via phone, email, or in-person after contact sharing
Cash payments, gifts, or compensation requested by users privately
Personal safety issues, theft, harassment, or criminal activity during meetups
All consequences of private user interactions outside our platform

💰 Financial & Commercial

Direct, indirect, incidental, or consequential damages
Lost profits, revenue, or business opportunities
Ticket cancellation fees, rebooking costs, or price differences
Travel expenses, accommodation costs, or related charges

🤝 User Interactions

User fraud, misrepresentation, or dishonest behavior
Failed exchanges, no-shows, or coordination breakdowns
Privacy breaches between users or data misuse
Disputes, conflicts, or disagreements between users

User Indemnification

User Agreement: By using XchangeSeat, you agree to protect us from any legal costs or claims arising from your use of the platform.

You agree to indemnify and hold harmless XchangeSeat and JDSPARK LLP from:

Any financial losses, damages, or penalties resulting from your seat exchange activities

Legal fees, court costs, and attorney expenses in defending any claims related to your platform use

Claims arising from your interactions with other users or third-party service providers

Force Majeure

XchangeSeat is not responsible for service interruptions due to circumstances beyond our control, including:

  • Government regulations, policy changes, or legal restrictions
  • Technical failures, server outages, or internet connectivity issues
  • Natural disasters, pandemics, or emergency situations
  • Third-party service provider changes or discontinuations

Account Termination

We may suspend/terminate accounts without notice for:

  • Rule violations or non-compliance
  • Suspicious activity or fraud attempts
  • Chargeback attempts or payment disputes
  • Excessive complaints or poor behavior
  • Violation of operator policies
